Successfully managed the due diligence action plans and completed a number of the share purchase transactions. Successful implementation and negotiation of the memorandums of understanding, share purchase agreements and shareholders agreements, always acting in the company best interests. Filed and successfully obtained the governmental approvals for the transactions.

M&A practice include:

Reviewing, drafting and negotiating a vast array of agreements related to business development and M&A projects (NDA, SPA, SHA, MOU, letter of intent, joint venture agreements) ;

Manage M&A legal due diligence, prepare and negotiate transaction documents and support integration;

Ensuring that all corporate formalities of the target company have been duly adhered to and that all third parties relationships are appropriately formalized;

Taking steps to mitigate the areas of potential risk, advising and representing the company in the various cross border complex share purchase transaction.
