Selected key achievements Corporate Governance (2010-2017):

Advising Senior Management on implementing the best companies structures, corporate governance and financing options (charter capital, equity contributions, loans, etc.). Counselling on the companies’ formation and equity contributions both from a legal and from a strategic point of view. Coordination and management of all relevant legal operative steps and procedures with the company various departments.

Legal Corporate practice include:

  Overall in-house corporate governance;

  Counselling and advising on the companies structuring, restructuring, companies liquidations, companies formations and registrations;

  Managing corporate governance including corporate administration of the companies in EU;

  Providing accurate legal guidance to the company’s various departments (Operations, Commercial, Finance, HR, Sales, Purchasing, Treasury) and executives on all matters that affects companies;

  Drafting and implementing corporate procedures and policies, corporate law documents in accordance with the legal requirements and internal guidelines (including company agreements, statutes, articles of association, powers of attorney, shareholders’ resolutions);

  Coordinating Shareholders and Board meeting of the Groups companies. Responsible for the companies corporate documentation and amendments thereto;

  Supporting the preparation, execution and maintenance of corporate governance documentation (i.e. agendas, resolutions and other organizational documents);

  Act as a contact person for all initial inquiries regarding organizational structure, corporate history and corporate governance matters;

  Anticipating and guarding company against legal risks.
